Terms of Service
These Terms of Service (the "Terms") form a binding agreement between you and wellsyncy LLC ("wellsyncy", "we", "our", or "us"), a limited liability company registered in the State of Wyoming, with registered address at 30 North Gould Street, Sheridan, WY 82801, United States. By accessing or using the wellsyncy website, products, dashboards, APIs, or related services (collectively, the "Service"), you agree to be bound by these Terms.
1. Introduction
wellsyncy provides a software-as-a-service platform that uses artificial intelligence to help businesses and their employees balance workload, life, and health. The Service is intended for lawful business use only and is not a medical device or clinical service.
If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization, and "you" refers to that organization.
2. Your account
To use most features of the Service, you must create an account. You agree to:
- Provide accurate, complete, and up-to-date information;
- Keep your credentials secure and not share them;
- Notify us promptly at contact@wellsyncy.com of any unauthorized access;
- Be responsible for all activity under your account.
You must be at least 18 years old to create an account.
3. Permitted use
You may use the Service only in compliance with these Terms, our Acceptable Use Policy, and all applicable laws. You agree not to:
- Use the Service to surveil, coerce, or harm employees or any third party;
- Reverse engineer, decompile, or attempt to extract source code;
- Resell, sublicense, or otherwise commercialize the Service without our written consent;
- Upload unlawful, infringing, or malicious content;
- Use the Service to develop a competing product.
4. Subscriptions & billing
Paid plans are offered as monthly or yearly subscriptions billed in advance. Prices are shown on our Pricing page and are in United States Dollars unless otherwise noted.
Payments are processed by Stripe, our third-party payment processor. Charges will appear on your statement as WELLSYNCY.COM. By providing payment information you authorize us (and Stripe on our behalf) to charge your selected payment method for all fees you incur.
Subscriptions renew automatically at the end of each billing period unless you cancel. Applicable taxes may be added.
5. Free trial
We may offer free trials of paid plans. Unless otherwise specified, trials last 14 days and require no payment method. At the end of a trial, your workspace either reverts to the free Starter plan or, if you've chosen to add a payment method, continues on the selected paid plan.
6. Cancellation
You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. You will not be charged again and will retain access until that date.
7. Refunds
Our refund policy is set out in full in our Refund Policy, which is incorporated into these Terms by reference. In summary: we offer a 14-day money-back guarantee on new paid subscriptions.
8. Intellectual property
The Service, including all software, AI models, designs, content, trademarks, and documentation, is owned by wellsyncy or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business purposes, subject to these Terms.
9. Customer data
You retain all rights to the data you or your authorized users submit to the Service ("Customer Data"). You grant us a limited license to host, process, and display the Customer Data as necessary to provide and improve the Service, subject always to our Privacy Policy.
We will never sell Customer Data, and we do not use Customer Data to train foundational AI models. Any AI training we perform uses synthetic data and properly licensed datasets only.
10. Confidentiality
Each party will protect the other’s confidential information with the same care it uses to protect its own, and in no event less than a reasonable standard of care. Confidential information does not include information that is publicly available, already known, independently developed, or lawfully obtained from a third party.
11. Warranties & disclaimers
We warrant that the Service will perform materially in accordance with our published documentation. Except for this warranty, the Service is provided "as is" and we disclaim all other warranties, express or implied, to the fullest extent permitted by law — including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
The Service is not a medical service and is not intended to diagnose, treat, or prevent any disease. Always seek qualified medical or mental-health advice where appropriate.
12. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or lost profits or revenues, arising out of these Terms or the Service, even if advised of the possibility of such damages.
Our total aggregate liability to you in connection with the Service will not exceed the amounts paid by you to wellsyncy in the twelve (12) months preceding the event giving rise to the claim.
13. Indemnification
You agree to defend, indemnify, and hold harmless wellsyncy from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your breach of these Terms, (b) your misuse of the Service, or (c) your Customer Data.
14. Termination
You may terminate your account at any time. We may suspend or terminate your access if you materially breach these Terms, if required by law, or if your continued use poses a security or legal risk to other customers. On termination, your right to use the Service ends and we will delete Customer Data in accordance with our Privacy Policy.
15. Governing law & disputes
These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws rules. Any dispute will be resolved exclusively in the state or federal courts located in Wyoming, and both parties consent to personal jurisdiction there.
16. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we'll notify you by email or in-app at least 30 days before they take effect, unless a shorter period is required by law. Continued use after the effective date constitutes acceptance of the updated Terms.
